![]() Real Estate The Firm represents real estate developers, land owners and real estate investors (both institutional and private) in all aspects of commercial real estate transactions. On the developer side, we are involved from land acquisition, through the planning and permitting process, construction financing, permanent financing and/or sale. As to real estate owners and investors, we handle purchase and sale transactions, financing (including construction, permanent and conduit loans), ground leases and leasehold mortgages. Members of the Firm have extensive experience in identifying and solving title and survey issues which arise from time to time in real estate transactions. The Firm also represents commercial clients in leasing matters (both landlord and tenant), including office leases, shopping center leases, long-term ground leases, and all other types of commercial leases. Banking/Institutional Lending The Firm’s banking and commercial loan practice includes representation of numerous banks, life insurance companies, and other institutional lenders. Mombach, Boyle & Hardin, P.A. is recognized for its expertise in the area of institutional financing, including real estate secured loans, asset-based financing, loan participations and syndications. The Firm handles sophisticated loan transactions throughout the entire State of Florida as well as multi-state loan transactions. We also assist in the “due diligence” process for lenders, including review of title and survey, liens and judgment searches, zoning and land use issues, overseeing the review of environmental issues, and similar issues which arise in a particular transaction. The Firm also has a great deal of experience in documentary stamp and intangible tax issues which affect many loan transactions, and the structuring of transactions so as to minimize documentary stamp and intangible tax liability. The Firm acts as local counsel on a regular basis for several out of state institutions, working both directly with the institutions and with other law firms to handle issues particular to Florida transactions. Commercial Law/Corporate As a commercial firm, Mombach, Boyle & Hardin, P.A. represents a wide range of general commercial enterprises and individuals as to a variety of issues which affect their businesses. We have established and maintained long-term relationships with a variety of local enterprises. Our services include selection of entity form (corporations, limited partnerships, general partnerships, limited liability companies, and limited liability partnerships), entity creation, negotiation of shareholder agreements, operating agreements, partnership agreements, buy/sell agreements, and other general business matters. Commercial Litigation The Firm represents clients in various litigation matters, including contract disputes, commercial landlord/tenant actions, mortgage/lien foreclosures, construction disputes, and all other types of business and real estate litigation. We understand that each case is unique. Accordingly, each case undergoes a thorough and comprehensive analysis of its facts before filing. This extra effort at the beginning of the case allows us to develop a clear, comprehensive and effective strategy for success, one uniquely suited to the facts of the case. This approach is in keeping with the Firm’s philosophy of not only providing the highest level of legal services, but also providing them in a manner that is efficient in light of the nature and size of the dispute. We make effective mediation and in some instances pre-suit mediation. A significant part of our practice is "preventative law": providing advice, drafting documents and negotiating agreements in advance so as to meet the objective of reducing the risk of later litigation. Construction Litigation The Firm represents owners, developers, design professionals, contractors, and suppliers in all aspects of the construction process. The Firm recognizes that sometimes preventative action such as contract reviews and contract negotiations proves to be a necessity in the construction process. However, the Firm understands that sometimes litigation cannot be avoided and the Firm has represented numerous clients in litigation and alternative dispute resolution proceedings surrounding lien claims, bond claims, purchase/sale agreements and other construction related matters. |
